Abstract
Grensen mellom forhandlingssituasjonen og bindende avtale befinner seg i en juridisk gråsone. Problemene oppstår først ved en tvist partene imellom, og hittil i norsk rett har løsningen vært å finne i rettspraksis. Per dags dato finnes det ikke lovregler som regulerer forhandlinger verken i kraft av CISG eller i norsk rett. En undersøkelse av CISG og andre internasjonale kontraktsrettslige instrumenter vil muligens kunne bidra til å tydeliggjøre rettstilstanden - i alle fall overfor internasjonale handelsparter.
 
Drawing the line between negotiations and a binding agreement is situated in a judicial grey matter. The problems arise firstly when the parties are having a disagreement, and the solution in Norwegian law is found in case law. As to this day there is no active rules regulating the negotiation situation, not in CISG nor in Norwegian law. Therefore an examination of CISG and other international contractual instruments may contribute to clarify this area of law - especially with regards to international trading parties.
